Why

Contract redlining software for the first pass

Most of a first-pass review is mechanical. Find the clause that moves risk onto your client, write the fix, mark it up, then check that defined terms and cross-references still hold. NeoLaw takes that first pass, so your time goes on judgement and negotiation.

Rated, with reasons. Each clause gets a low, medium or high risk rating and a short explanation that quotes its wording.

Fixes you can apply. The riskiest clauses come with replacement wording. One click puts it into the document as a tracked change.

Checked before it goes out.Blank placeholders, broken cross-references and names spelled two ways are flagged before you send the draft.

How it works

How contract redlining works in NeoLaw

  1. Upload the draft.

Word (.docx) or PDF, up to 50 MB. Scanned PDFs of up to 150 pages are read automatically. Choose the party you act for, and the review takes that side.

  2. Get a first round of redlines.

NeoLaw splits the contract into clauses, rates each one for risk and drafts replacement wording for the riskiest. Ask for more and it drafts the next batch, or ask for a redline on any medium- or high-risk clause.

  3. Check it against your playbook.

NeoLaw compares each clause with your firm’s standard wording and marks every deviation as minor, major or critical, with a note on how it differs.

  4. Apply the fixes you want.

Each fix you apply goes into the document as a tracked change, with the old wording struck through and the new wording inserted. Reject any change, one at a time or all at once. To change other wording, select it and ask NeoLaw to redraft it, and the result is tracked too.

  5. Download your own .docx.

NeoLaw writes the tracked changes into the Word file you uploaded, as native Word revisions with “NeoLaw” as the author. Letterhead, numbering and styles stay as they were, and the other side accepts or rejects each change in Word.

What NeoLaw leaves alone. It edits the body of the contract. Tables, headers and footers stay as they are, and if a change cannot be placed in your file, NeoLaw tells you before you send it. For a PDF, you get a new Word document with the same tracked changes.

What it checks

What NeoLaw checks in every review

AI redlining is only worth it if it catches what a careful associate would. NeoLaw checks four things.

CheckWhat it catches
RiskClauses that put your client at a disadvantage, rated low, medium or high with the reason, and replacement wording for the riskiest.
PlaybookWording that departs from your firm’s standard clauses, rated minor, major or critical. It runs once your firm has a default playbook.
DraftingBlank placeholders, dates and amounts; references to clauses or schedules that don’t exist; figures that disagree with the words; defined terms that are misspelled or never defined; party names spelled two ways.
Cyprus lawFor contracts governed by Cyprus law, NeoLaw searches Cypriot legislation, and the risk ratings can refer to the laws it finds.

Negotiation

When the other side sends back their draft

Upload the counterparty’s revised draft, as Word or PDF. NeoLaw compares it with your current version, paragraph by paragraph and word by word, so a change they made without tracking it still shows up. Each round is saved, so you can go back to an earlier comparison.

With Microsoft 365 connected, you can also take their draft straight from an Outlook email. Your IT team may need to approve that connection first.

Ask this document

Ask the contract, then apply the answer

Open the “Ask this document” panel beside the contract and ask a question in plain words. NeoLaw answers from the draft and names the clauses it relied on by their headings, exactly as they appear. If the answer proposes a change, click Apply and it joins your other tracked changes.

For a question about the law itself, ask the Legal Agent, which researches Cypriot legislation and case law before it answers.

FAQ

Contract redlining FAQ

What does it mean to redline a contract?

Redlining a contract means marking proposed changes directly on the draft. Deleted wording is struck through and new wording is inserted, traditionally in red. Today this is usually done with Track Changes in Microsoft Word, so the other side can see every edit and accept or reject it.

How do you redline a contract?

Read the draft against your client’s position, then edit it in Word with Track Changes on. Strike out what should go, insert the replacement and add comments where an edit needs explaining. Before sending, check that defined terms, cross-references and numbering still work. NeoLaw drafts the first round of edits and flags broken cross-references and defined-term errors for you.

Can AI redline a contract?

AI can draft a first round of redlines and catch drafting errors that are easy to miss by eye. It does not replace a lawyer’s judgement. In NeoLaw every edit stays a suggestion until a lawyer applies it, and the exported revisions carry “NeoLaw” as their author, so it is always clear where they came from.

Can I keep working in Microsoft Word?

Yes. The download is the .docx you uploaded, with NeoLaw’s changes as native Word tracked changes, so you and the other side review them in Word as usual.

Leave the changes pending in NeoLaw until you download. If you accept changes inside NeoLaw or edit the text there directly, the download becomes a re-typeset copy instead of your original file, and NeoLaw tells you so.

Which files can I upload?

Word (.docx) and PDF files up to 50 MB. Scanned PDFs of up to 150 pages are read automatically. For a PDF, NeoLaw builds a new Word document with the tracked changes, because there is no original .docx to edit. Save older .doc files as .docx first.

NeoLaw does not read text inside tracked changes that are already in a file. Accept or reject them in Word before you upload a draft, including a counterparty’s revised draft for comparison.

Is our contract used to train AI models?

No. NeoLaw does not train or fine-tune models on your documents. Contract review runs on NeoLaw’s own private language model by default, on GPU servers we operate in Limassol.

How do we get started?

Request access at chat.neolaw.ai/register. Our team activates new accounts after a manual approval. An administrator then sets up your firm’s playbook, either by hand or by extracting it from one of your template contracts, and you can upload your first draft.

Try NeoLaw on one of your own contracts.

Request access and our team will activate your account. Then upload a draft you know well and look at the redlines, the playbook check and the Word file you would send back.
